Vidia is incorporated under Alberta Corporate Access Number <strong>2026373585<\/strong>.<\/p>\n<p>Vidia provides financial-related services, including money transfer, payment service provider (\u201cPSP\u201d) services, and virtual currency-related services, as applicable to the products and services made available to users.<\/p>\n<p>Vidia&#8217;s registered address is:<\/p>\n<p><strong>753 Kettles Street<\/strong><br><strong>Pincher Creek, Alberta, T0K 1W0<\/strong><br><strong>Canada<\/strong><\/p>\n<p>By accessing or using Vidia&#8217;s services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with these Terms, you must not access or use the services.<\/p>\n<ol start=\"2\">\n<li><strong> Eligibility<\/strong><\/li>\n<\/ol>\n<p>You may use Vidia&#8217;s services only if:<\/p>\n<ul>\n<li>You are at least eighteen (18) years old, unless a different minimum age is required by applicable law;<\/li>\n<li>You have the legal capacity to enter into a binding agreement;<\/li>\n<li>You provide accurate, current, and complete information when requested;<\/li>\n<li>Your use of the services is lawful in the jurisdiction applicable to you; and<\/li>\n<li>You are not prohibited from using the services under applicable law, sanctions, regulatory requirements, or Vidia&#8217;s internal compliance requirements.<\/li>\n<\/ul>\n<p>Vidia may refuse to provide services where the applicable legal, regulatory, compliance, risk, or operational requirements are not satisfied.<\/p>\n<ol start=\"3\">\n<li><strong> Services<\/strong><\/li>\n<\/ol>\n<p>Vidia provides financial-related services, which may include money transfer, payment service provider, virtual currency, and other services made available from time to time.<\/p>\n<p>The availability, features, conditions, and requirements applicable to a particular service may vary depending on the service, the user&#8217;s jurisdiction, applicable law, third-party service providers, and Vidia&#8217;s regulatory and compliance obligations.<\/p>\n<p>Vidia may modify, suspend, discontinue, or restrict any service or feature where reasonably necessary for operational, technical, legal, regulatory, security, risk-management, or compliance reasons.<\/p>\n<ol start=\"4\">\n<li><strong> Account Registration and Information<\/strong><\/li>\n<\/ol>\n<p>Where an account or onboarding process is required, you agree to provide accurate, complete, and current information.<\/p>\n<p>You must promptly update information that becomes inaccurate, incomplete, or outdated.<\/p>\n<p>Vidia may request additional information or documentation at any time where reasonably necessary to:<\/p>\n<ul>\n<li>Verify your identity;<\/li>\n<li>Verify information provided by you;<\/li>\n<li>Understand the nature and purpose of the relationship or intended use of the services;<\/li>\n<li>Comply with applicable laws and regulatory requirements;<\/li>\n<li>Conduct customer due diligence or enhanced due diligence;<\/li>\n<li>Assess financial crime, fraud, sanctions, or other risks; or<\/li>\n<li>Protect Vidia, its users, service providers, and other persons from unlawful or harmful activity.<\/li>\n<\/ul>\n<p>You acknowledge that failure to provide requested information or documentation may result in delayed, restricted, suspended, or refused services.<\/p>\n<ol start=\"5\">\n<li><strong> Anti-Money Laundering, Counter-Terrorist Financing, and Sanctions Compliance<\/strong><\/li>\n<\/ol>\n<p>Vidia maintains an Anti-Money Laundering and Counter-Terrorist Financing (\u201cAML\/CTF\u201d) compliance program applicable to its business activities and services.<\/p>\n<p>Vidia&#8217;s AML\/CTF compliance framework is designed to support compliance with applicable legal and regulatory requirements and to identify, assess, manage, and mitigate risks relating to money laundering, terrorist financing, sanctions, fraud, and other financial crime risks.<\/p>\n<p>The current <strong>Anti-Money Laundering and Counter-Terrorist Financing Policy<\/strong> is available for review and download through the designated link on Vidia&#8217;s website:<\/p>\n<p><strong>[<\/strong><a href=\"https:\/\/vidiacorp.com\/wp-content\/uploads\/2026\/07\/Anti-Money-Laundering-and-Counter-Terrorist-Financing-Policy.pdf\" target=\"_blank\">AML\/CTF Policy<\/a><strong>]<\/strong><\/p>\n<p>The AML\/CTF Policy is incorporated into Vidia&#8217;s broader compliance framework. Users are expected to cooperate with reasonable requests for information and documentation made in connection with applicable legal, regulatory, compliance, and risk-management requirements.<\/p>\n<p>Vidia may conduct customer due diligence, ongoing monitoring, transaction monitoring, sanctions screening, and other compliance activities as required or considered appropriate under applicable law and Vidia&#8217;s risk-based compliance framework.<\/p>\n<p>Vidia may take action, including delaying, rejecting, restricting, suspending, or terminating services or transactions, where required or permitted by applicable law or where Vidia identifies legal, regulatory, sanctions, fraud, AML\/CTF, or other financial crime concerns.<\/p>\n<p>Where legally required, Vidia may disclose information to competent authorities, regulators, financial intelligence units, law enforcement agencies, or other authorized persons.<\/p>\n<p>Vidia may be legally restricted from disclosing certain information regarding compliance reviews, investigations, regulatory communications, or suspicious transaction reporting.<\/p>\n<ol start=\"6\">\n<li><strong> Prohibited and Restricted Activities<\/strong><\/li>\n<\/ol>\n<p>You may not use Vidia&#8217;s services for:<\/p>\n<ul>\n<li>Money laundering;<\/li>\n<li>Terrorist financing;<\/li>\n<li>Sanctions evasion;<\/li>\n<li>Fraud or identity fraud;<\/li>\n<li>Financing or facilitating unlawful activities;<\/li>\n<li>Transactions involving unlawful proceeds;<\/li>\n<li>Unauthorized or deceptive financial activity;<\/li>\n<li>Providing false, misleading, or fraudulent information;<\/li>\n<li>Circumventing applicable legal, regulatory, compliance, or transaction restrictions;<\/li>\n<li>Any activity prohibited by applicable law; or<\/li>\n<li>Any other activity that Vidia reasonably determines presents unacceptable legal, regulatory, security, fraud, or financial crime risk.<\/li>\n<\/ul>\n<p>Vidia may restrict or prohibit transactions, users, counterparties, jurisdictions, products, or activities where required by applicable law or Vidia&#8217;s compliance and risk-management framework.<\/p>\n<ol start=\"7\">\n<li><strong> User Responsibilities<\/strong><\/li>\n<\/ol>\n<p>You agree to:<\/p>\n<ul>\n<li>Provide accurate, complete, and truthful information;<\/li>\n<li>Cooperate with identity verification and other due diligence procedures;<\/li>\n<li>Use the services only for lawful purposes;<\/li>\n<li>Comply with applicable laws and regulations;<\/li>\n<li>Maintain the confidentiality of your account credentials;<\/li>\n<li>Take reasonable steps to protect your account and access information;<\/li>\n<li>Promptly notify Vidia of unauthorized access or suspected account compromise;<\/li>\n<li>Promptly notify Vidia if information previously provided becomes materially inaccurate; and<\/li>\n<li>Not attempt to circumvent Vidia&#8217;s security, compliance, transaction monitoring, or other controls.<\/li>\n<\/ul>\n<p>You are responsible for activity conducted through your account to the extent permitted by applicable law.<\/p>\n<ol start=\"8\">\n<li><strong> Transaction Processing<\/strong><\/li>\n<\/ol>\n<p><br>Transactions may be subject to verification, review, approval, limits, restrictions, delays, or other conditions.<\/p>\n<p>Vidia does not guarantee that every requested transaction will be accepted, processed, completed, or settled.<\/p>\n<p>Transactions may be delayed, rejected, reversed, restricted, or suspended for reasons including:<\/p>\n<ul>\n<li>Legal or regulatory requirements;<\/li>\n<li>AML\/CTF or sanctions concerns;<\/li>\n<li>Fraud prevention or security concerns;<\/li>\n<li>Incomplete or inaccurate information;<\/li>\n<li>Technical or operational issues;<\/li>\n<li>Requirements imposed by third-party service providers or financial institutions; or<\/li>\n<li>Other circumstances permitted by applicable law.<\/li>\n<\/ul>\n<p><br>Where legally permitted, Vidia may provide information regarding the status of a transaction. However, Vidia may be unable to disclose certain information relating to confidential compliance reviews or regulatory obligations.<\/p>\n<ol start=\"9\">\n<li><strong> Fees and Charges<\/strong><\/li>\n<\/ol>\n<p>Fees and charges applicable to Vidia&#8217;s services will be disclosed through the applicable service, platform, agreement, or other communication.<\/p>\n<p>Fees may vary depending on the service, transaction, currency, jurisdiction, payment method, third-party costs, or other applicable factors.<\/p>\n<p>Vidia may change applicable fees from time to time. Where required by applicable law or agreement, Vidia will provide applicable notice of material changes.<\/p>\n<p>You are responsible for all fees and charges applicable to your use of the services.<\/p>\n<ol start=\"10\">\n<li><strong> Privacy and Personal Information<\/strong><\/li>\n<\/ol>\n<p>Vidia collects, uses, discloses, stores, and protects personal information in accordance with its <strong>Privacy Policy<\/strong>.<\/p>\n<p>By using Vidia&#8217;s services, you acknowledge that personal information may be processed for purposes including:<\/p>\n<ul>\n<li>Providing and administering services;<\/li>\n<li>Verifying identity and information;<\/li>\n<li>Processing and monitoring transactions;<\/li>\n<li>Preventing and detecting fraud and financial crime;<\/li>\n<li>Meeting AML\/CTF, sanctions, regulatory, legal, and reporting obligations;<\/li>\n<li>Managing risk and security;<\/li>\n<li>Maintaining records required by applicable law;<\/li>\n<li>Communicating with you; and<\/li>\n<li>Other purposes described in the Privacy Policy or permitted by applicable law.<\/li>\n<\/ul>\n<p>Please review Vidia&#8217;s Privacy Policy for further information about the processing of personal information.<\/p>\n<ol start=\"11\">\n<li><strong> Records and Retention<\/strong><\/li>\n<\/ol>\n<p>Vidia may create and maintain records relating to users, accounts, relationships, transactions, communications, identity verification, compliance activities, and other relevant activities.<\/p>\n<p>Records may be retained for the periods required or permitted by applicable law, regulatory requirements, and Vidia&#8217;s policies and procedures.<\/p>\n<p>Vidia may retain information after an account is closed or a relationship ends where retention is necessary to comply with legal, regulatory, AML\/CTF, tax, dispute-resolution, security, or other applicable obligations.<\/p>\n<ol start=\"12\">\n<li><strong> Intellectual Property<\/strong><\/li>\n<\/ol>\n<p>All intellectual property rights relating to Vidia&#8217;s websites, platforms, services, software, content, trademarks, logos, designs, and other materials belong to Vidia or its licensors, unless otherwise indicated.<\/p>\n<p>You may not copy, reproduce, modify, distribute, publish, sell, license, reverse engineer, or otherwise exploit Vidia&#8217;s intellectual property without prior written permission, except where permitted by applicable law.<\/p>\n<ol start=\"13\">\n<li><strong> Security<\/strong><\/li>\n<\/ol>\n<p>Vidia maintains security measures designed to protect its systems, services, and information.<\/p>\n<p>However, no system or method of transmission or storage can be guaranteed to be completely secure.<\/p>\n<p>You are responsible for maintaining appropriate security of your devices, credentials, authentication information, and access to your account.<\/p>\n<p>You must promptly notify Vidia of any suspected unauthorized access, security incident, or compromise relating to your account.<\/p>\n<ol start=\"14\">\n<li><strong> Service Availability<\/strong><\/li>\n<\/ol>\n<p>Vidia seeks to provide reliable services but does not guarantee that the services will always be available, uninterrupted, error-free, or free from delays.<\/p>\n<p>Services may be unavailable or restricted due to:<\/p>\n<ul>\n<li>Maintenance;<\/li>\n<li>Technical failures;<\/li>\n<li>Security incidents;<\/li>\n<li>Third-party service interruptions;<\/li>\n<li>Legal or regulatory requirements;<\/li>\n<li>Compliance reviews;<\/li>\n<li>Force majeure events; or<\/li>\n<li>Other circumstances beyond Vidia&#8217;s reasonable control.<\/li>\n<\/ul>\n<ol start=\"15\">\n<li><strong> Third-Party Services<\/strong><\/li>\n<\/ol>\n<p>Vidia may rely on third-party service providers, financial institutions, technology providers, payment providers, infrastructure providers, or other partners in connection with the provision of certain services.<\/p>\n<p>The availability or performance of third-party services may affect the availability or performance of Vidia&#8217;s services.<\/p>\n<p>You acknowledge that certain third-party services may be subject to separate terms and conditions.<\/p>\n<ol start=\"16\">\n<li><strong> Limitation of Liability<\/strong><\/li>\n<\/ol>\n<p>To the maximum extent permitted by applicable law, Vidia will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or relating to the use of, or inability to use, the services.<\/p>\n<p>Vidia will not be liable for losses resulting from circumstances beyond its reasonable control, including technical failures, third-party service interruptions, security events, regulatory requirements, legal restrictions, or force majeure events.<\/p>\n<p>Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.<\/p>\n<ol start=\"17\">\n<li><strong> Suspension and Termination<\/strong><\/li>\n<\/ol>\n<p>Vidia may suspend, restrict, refuse, or terminate access to services or accounts where permitted or required by applicable law or where reasonably necessary for:<\/p>\n<ul>\n<li>Breach of these Terms;<\/li>\n<li>False, incomplete, or misleading information;<\/li>\n<li>Fraud or suspected fraud;<\/li>\n<li>AML\/CTF concerns;<\/li>\n<li>Sanctions or other regulatory concerns;<\/li>\n<li>Legal or regulatory requirements;<\/li>\n<li>Security concerns;<\/li>\n<li>Unlawful or prohibited activity;<\/li>\n<li>Failure to complete required verification or due diligence;<\/li>\n<li>Risk-management reasons;
